1. Acceptance of Terms

By accessing or using the CHERI School Management System ("CHERI SMS", "the Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must not use the Platform.

2. User Accounts

• Accounts are created by the school administrator. You are responsible for keeping your login credentials confidential.
• You must not share your account with others or allow unauthorized access.
• You must notify the school immediately if you suspect unauthorized use of your account.
• The school reserves the right to suspend or deactivate accounts that violate these Terms.

3. Acceptable Use

You agree to use the Platform only for its intended educational and administrative purposes. You must NOT:

• Upload malicious content, viruses, or harmful files
• Attempt to access data belonging to other schools or users
• Use the messaging or chat features for harassment, bullying, or inappropriate content
• Attempt to reverse-engineer, scrape, or exploit the Platform's APIs or infrastructure
• Circumvent security controls (rate limits, authentication, access restrictions)

4. Data Ownership

• School data — academic records, attendance, fee data, and institutional content belong to the school.
• Personal data — your personal information is governed by our Privacy Policy.
• User-generated content — messages, forum posts, homework submissions, and feedback remain your content, but you grant the school a non-exclusive license to use it within the Platform for educational purposes.

5. Intellectual Property

The Platform's software, design, logos, and documentation are the property of SaacITSolutions (SIS) and are protected by intellectual property law. Schools receive a license to use the Platform as described in their subscription agreement.

6. Service Availability

• We aim for high availability but do not guarantee uninterrupted access.
• Scheduled maintenance will be communicated in advance via the announcement system.
• We are not liable for data loss due to circumstances beyond our control (natural disasters, third-party service outages).

7. Payment Terms

Fee payments processed through the Platform are between the parent/guardian and the school. The Platform facilitates payment via integrated gateways but is not a party to the financial transaction. Refund policies are set by each school.

8. Limitation of Liability

To the maximum extent permitted by law, CHERI SMS and SaacITSolutions shall not be liable for indirect, incidental, or consequential damages arising from the use of the Platform. Our total liability shall not exceed the subscription fees paid by the school in the preceding 12 months.

9. Termination

Schools may terminate their subscription per the terms of their service agreement. Upon termination, school data will be retained for 30 days (for export) and then permanently deleted unless a longer retention period is required by law.

10. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after updates constitutes acceptance. Material changes will be communicated to school administrators.

11. Governing Law

These Terms are governed by the laws of the jurisdiction where the school is registered. Disputes will be resolved through arbitration in that jurisdiction.
